New Delhi : As a significant step forward, the Competition Commission of India (CCI) suspended more than two years ago approval of Amazon’s transaction to acquire shares in Future Coupons Pvt Ltd on Friday. It is imposed for certain violations. This is happening in a fierce legal battle between Amazon and Future Group over Rs 24,713 billion deal with Reliance Retail Ventures Ltd (RRVL). Against this background, the Future Group complained to IHK.

In the ordinance on page 57, regulators stated that approval for Amazon Future coupon transactions remains “pending.” Citing certain violations, CCI said they were “intentional design by Amazon to curb the actual scope and purpose of the combination” and no mitigation factors were found. As a result, Amazon was fined a total of 2 rupees.

Watchdog also penalized 200 crores if he did not report the combination under the required conditions. The centralized party is Amazon.com Inc. It was a direct subsidiary of Amazon.com NV Investment Holdings LLC (Amazon) and Future Coupons.

When approving the transaction in November 2019, CCI also notified that the order would be canceled whenever the information provided by the acquirer was found to be inaccurate. On November 29, the Supreme Court gave Amazon another two weeks, and CCI refused to postpone the proceedings related to revoking the merchant’s permission to do business with future coupons.

It holds a 7.3% stake in the listed Future Retail through convertible bonds and is entitled to purchase to the flagship Future Retail three to ten years later. In August 2020, RRVL announced that it would take over Future Group’s retail and wholesale business and logistics and warehousing business for Rup 24.713 billion. The agreement includes the integration of Future Group’s retail and wholesale assets into one entity, Future Enterprises Ltd, which is then transferred to Reliance Retail.
